Bylaws Drafting
The operating rules the state and IRS expect you to follow.
Overview
Bylaws are the internal rulebook your board actually runs the organization by, and the IRS asks for a copy with your 501(c)(3) application. This module covers the clauses that make a bylaws document legally sound: board composition and terms, officer roles, meeting and quorum rules, conflict-of-interest language, and the amendment process. You'll leave with a template tuned to a member or non-member structure.
What you'll be able to do
- Draft bylaws that match your articles of incorporation
- Define board size, terms, and officer duties clearly
- Write meeting, quorum, and voting rules that hold up
- Include the conflict-of-interest clause the IRS looks for
